These Terms of Service ("Terms") govern your access to and use of the EstateScout platform, website, and related services (collectively, the "Service"), operated by EstateScout ("Company," "we," "us," or "our"). The Service is a software-as-a-service (SaaS) product designed for real estate professionals.
By accessing, registering for, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
2. Account Registration and Responsibilities
To access certain features, you must create an account. You agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your login credentials confidential
Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
3. Free Trial
We may offer a three (3) day free trial for new users. During the free trial, you will have access to the Service as described at the time of sign-up.
Unless you cancel before the end of the free trial period, your payment method on file will be automatically charged, and your subscription will begin.
You are solely responsible for canceling your subscription before the trial ends if you do not wish to be charged.
4. Subscriptions, Billing, and No Refund Policy
Subscription Fees
Subscription fees are billed in advance on a recurring basis (monthly or annually, as applicable) and are non-transferable.
No Refunds
ALL PAYMENTS ARE FINAL.
Due to the nature of digital services and immediate access to the Service, we do not offer refunds, partial refunds, credits, or prorated billing, including but not limited to:
Failure to cancel before the end of the free trial
Forgotten cancellations
Lack of use of the Service
Dissatisfaction with features or results
By subscribing, you expressly agree to this no-refund policy and waive any right to dispute or charge back payments based on non-use or dissatisfaction.
5. Chargebacks and Payment Disputes
Initiating a chargeback or payment dispute without first contacting us to resolve the issue is a violation of these Terms.
We reserve the right to:
Immediately suspend or terminate your account
Block future access to the Service
Recover any fees, penalties, or costs incurred as a result of chargebacks, including administrative and legal fees
6. Cancellation
You may cancel your subscription at any time through your account dashboard. Cancellation will stop future billing but will not result in a refund for any fees already paid.
Access to the Service will continue until the end of the current billing period.
7. Acceptable Use
You agree not to:
Use the Service for unlawful, fraudulent, or misleading purposes
Reverse engineer, decompile, or attempt to extract source code
Interfere with or disrupt the integrity or performance of the Service
Resell, sublicense, or share access without authorization
Use the Service in a way that violates any applicable laws or regulations
We reserve the right to suspend or terminate access for violations of this section.
8. Intellectual Property
All content, software, trademarks, logos, and proprietary technology associated with the Service are owned by or licensed to the Company and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during an active subscription.
9. Data and User Content
You retain ownership of any data you submit to the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service.
We are not responsible for the accuracy of data entered by users or third-party data sources.
10. Third-Party Services
The Service may integrate with or rely on third-party services, APIs, or data providers. We are not responsible for the availability, accuracy, or performance of third-party services.
Your use of third-party services is subject to their respective terms and policies.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR PRODUCE ANY SPECIFIC RESULTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, violation of these Terms, or infringement of any rights of a third party.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination, your right to use the Service will immediately cease.
15. Modifications to the Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website, and continued use of the Service constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which the Company is registered, without regard to conflict of law principles.
